This Affiliate Agreement ("Agreement") is made and entered into by and between Pillowsonic, LLC ("Company"), located at 1130 Perry Highway Suite Pittsburgh, PA 15237, and the undersigned affiliate ("Affiliate").

1. Enrollment in the Affiliate Program

To begin the enrollment process, the Affiliate will submit a completed Affiliate Program Application through the Company’s website. The Company will evaluate the application and notify the Affiliate of their acceptance or rejection. The Company reserves the right to accept or reject any application at its sole discretion.

2. Affiliate Responsibilities

• The Affiliate agrees to use only the referral link provided by the Company to promote the Company's products.
• The Affiliate must not use the referral link for personal purchases.
• The Affiliate is responsible for ensuring that the referral link is properly used to track sales.
• The Affiliate must comply with all applicable laws and regulations when promoting the Company's products.

3. Commissions

• The Affiliate will earn a commission of 20% on the total sale amount, pre-tax, for all referred sales.
• Commissions will not be paid on sales that are refunded, returned, or canceled.
• The Company reserves the right to withhold or adjust commissions for any fraudulent or suspicious activity.
• All commissions are paid in perpetuity for as long as the referred customer continues to make purchases.

4. Payouts

• Commission payouts will be made once at the end of each month.
• Payments will be made via Stripe.
• The minimum payout threshold is $50.00 USD. If the Affiliate’s commissions do not meet the minimum threshold, the balance will carry over to the next month.

5. Affiliate Dashboard

• The Company will provide the Affiliate with access to an Affiliate Dashboard.
• The Affiliate Dashboard will allow the Affiliate to track commissions, sales, and other relevant metrics.
• The Affiliate is responsible for keeping their login information confidential.

6. Term and Termination

• This Agreement will begin upon the Company's acceptance of the Affiliate Program Application and will continue until terminated by either party.
• Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
• Upon termination, the Affiliate will cease all promotional activities related to the Company’s products and remove all referral links.
• Any commissions accrued prior to the termination date will be paid to the Affiliate in accordance with the standard payout schedule.

7. Modification

The Company reserves the right to modify any terms and conditions of this Agreement at any time. The Affiliate will be notified of any changes via email or through the Affiliate Dashboard. Continued participation in the Affiliate Program following the notification of changes will constitute acceptance of those changes.

8. Limitation of Liability

The Company will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate Program. The Company’s total liability to the Affiliate will not exceed the total commissions paid or payable to the Affiliate under this Agreement.

9. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of laws principles.

10. Independent Contractor

The relationship between the Company and the Affiliate is that of independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
